Welcome to Widgetly (“Widgetly,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website widgetly.co, our widgets, integrations, software, and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years old (or the age of majority in your place of residence) to use the Services. By using the Services, you represent and warrant that you meet this requirement.
2. Accounts
You may need an account to access certain features. Provide accurate, current, and complete information and keep it updated.
You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.
Notify us immediately of any unauthorized use of your account at support@widgetly.co.
3. Acceptable Use
You agree not to, and not to assist or enable others to:
Access or use the Services for unlawful, infringing, fraudulent, or malicious purposes.
Upload or distribute malware, spyware, or other harmful code; scrape, crawl, or harvest data except as permitted by our documentation.
Reverse engineer, decompile, or attempt to derive source code from the Services except to the extent such restrictions are prohibited by law.
Interfere with or disrupt the integrity or performance of the Services.
Misrepresent your affiliation with Widgetly or remove, obscure, or alter notices (e.g., copyright, trademark).
4. Subscriptions, Renewals & Payments
Certain features require a paid subscription. Pricing and available plans are shown at checkout or in your account.
Auto-Renewal. Subscriptions automatically renew at the end of each billing cycle (monthly or yearly, depending on your selection at purchase).
Cancellation. If you do not cancel your subscription before the renewal date, it will automatically continue and you will be charged for the next billing period. You can cancel anytime in your account settings. Cancellations take effect at the end of the current billing cycle; you’ll retain access until then.
First-Time Subscriber Refund. First-time subscribers may request a full refund within seven (7) calendar days of the initial subscription payment by emailing support@widgetly.co. Refunds are limited to one per customer and will be issued to the original payment method. After the 7-day period, all sales are final and non-refundable.
Unless stated otherwise, fees are exclusive of taxes, duties, and levies. You are responsible for any applicable taxes.
We may change prices or plan features prospectively. Changes will not apply to already-paid periods.
We may suspend or disable the Service if payments are late, declined, or disputed.
5. Trials & Promotions
Any free trial or promotional offer is subject to these Terms and any additional terms we provide. At the end of a trial, your plan may automatically convert to a paid subscription unless you cancel before the trial ends (we’ll indicate this where applicable).
6. Intellectual Property
The Services, including software, widgets, integrations, designs, and all related intellectual property, are owned by Widgetly or its licensors and are protected by law.
We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms and applicable plan limits.
Except as expressly permitted, you may not copy, modify, distribute, host, sell, or create derivative works of the Services.
All trademarks, logos, and service marks are the property of their respective owners. No rights are granted except as expressly set forth.
7. User Content
You retain ownership of content you upload, submit, or configure within the Services (“User Content”).
You grant Widgetly a worldwide, non-exclusive, royalty-free license to host, store, display, and process User Content solely to provide and improve the Services.
You represent and warrant that you have all rights to grant the above license and that your User Content and use of the Services comply with these Terms and applicable laws.
8. Third-Party Services
The Services may integrate with or link to third-party platforms (e.g., Notion). We do not control and are not responsible for third-party services, and your use of them is governed by their terms and privacy policies. We may enable, change, or disable integrations at any time.
9. Service Changes & Availability
We may modify, discontinue, or suspend features or the Services (in whole or in part) with or without notice, where reasonable.
Beta or experimental features may be offered “as is,” may change without notice, and may be subject to additional terms.
We aim for high availability but do not guarantee uninterrupted or error-free operation.
10. Suspension & Termination
We may suspend or terminate access to the Services immediately for violations of these Terms, legal risk, non-payment, or to protect the Services or other users.
Upon termination, your right to use the Services ceases immediately. Sections intended to survive (including payment obligations accrued before termination) will survive.
11. Disclaimers
The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that data will be preserved without loss.
Nothing in these Terms seeks to exclude or limit rights that cannot be excluded or limited under applicable law (e.g., mandatory consumer rights).
12. Limitation of Liability
To the maximum extent permitted by law, Widgetly and its affiliates, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities, arising out of or related to your use of the Services, even if advised of the possibility of such damages.
Our aggregate liability for all claims relating to the Services shall not exceed the greater of (a) the amount you paid to Widgetly for the Services in the twelve (12) months preceding the event giving rise to liability.
13. Indemnification
You agree to indemnify, defend, and hold harmless Widgetly and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your User Content, your use of the Services, or your violation of these Terms or applicable laws.
14. Privacy
Your use of the Services is also governed by our Privacy Policy. Where required by law, we will enter into a data processing agreement for business customers upon request.
15. Communications
By creating an account, you consent to receive transactional communications (e.g., receipts, service notices). You may opt out of non-essential marketing emails at any time using the unsubscribe link in those emails.
16. Governing Law & Venue
These Terms are governed by the laws of Switzerland, without regard to conflict-of-law rules. The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms shall be the competent courts of Zurich, Switzerland.
If you are a consumer residing in the EU/EEA/UK, you may have the right to bring claims in your local courts under mandatory consumer law.
17. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will post the updated Terms and update the “Effective Date” above. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
If a particular provision is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
